This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, or any other Social Network. The information you provide will not be used for marketing purposes by HelloFresh or FOX. You hereby hold harmless and release HelloFresh, FOX, Facebook, Instagram and each of their respective affiliates and associates from all claims, demands and causes of action which you, your heirs, representatives, executors, administrators or any other persons acting on your behalf or on behalf of your estate have or may have by reason of this authorization.

This giveaway is sponsored by GROCERY DELIVERY E-SERVICES USA INC. D/B/A HELLOFRESH ("HELLOFRESH" or Sponsor), located at 28 Liberty Street, 10th floor New York, NY 10005 in connection with FOX BROADCASTING COMPANY, LLLC (“FOX”), located at 10201 West Pico Boulevard, Los Angeles, CA 90064 in connection with the FOX television series entitled “OUTMATCHED” and “LAST MAN STANDING.”

By participating in the giveaway, each entrant agrees to abide by these official rules, including all eligibility requirements and understands that the results of the sweepstakes, as determined by the Sponsor and its agents, are final in all respects. The sweepstakes is subject to all federal, state and local laws and regulations and is void where prohibited by law. Any questions, comments or complaints regarding the promotion shall be directed to HelloFresh, not Facebook, Instagram, or FOX. The sweepstakes is open to legal residents of the forty-eight (48) contiguous United States and Washington D.C., where not prohibited by law, who are eighteen years of age or older at the time of entry, who have internet access and a valid e-mail account prior to the beginning of the sweepstakes entry period. 

Employees, shareholders, officers, directors, agents, and representatives of Sponsor, FOX (collectively, "Sweepstakes Entities"), Twentieth Century Fox Television, a unit of Twentieth Century Fox Film Corporation , and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives and promotion and advertising agencies are not eligible to participate in the Sweepstakes. Immediate family and household members of such individuals are also not eligible to enter or win. For purposes of the Sweepstakes, "Household Members" shall mean those people who share the same residence at least three months a year and "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses.

To enter the sweepstakes, participants must post a comment, following the prompt on the post on Instagram or Facebook (the “Submission”). One entry per person. The winner will be chosen at random and notified by being tagged in a comment announcing the winner at the end of the giveaway. If the winner doesn't claim their prize within 15 days of notification, Sponsor reserves the right to withdraw the prize from the winner and pick a replacement winner.

Two (2) winners will each receive one (1) 1-week supply of HelloFresh meal boxes valued at up to $126.83 (unused portion will be forfeited) and a cooking kit (the “Prize”). The total approximate retail value (ARV) of all Prizes together is $490. The Sweepstakes is scheduled to be conducted and administered by Sponsor commencing on January 23, 2020 at 12:30pm EST and ending on January 23, 2020 at 10:00pm EST (the “Entry Period”), and the winners will be drawn on or about January 24, 2020 from among all eligible entries received. HelloFresh has the right to verify the eligibility of each entrant.

By entering, each entrant warrants and represents the following with respect to entrant’s Submission: (a) entrant is the sole and exclusive owner of the Submission; and (b) the Submission will not infringe on any rights of any third parties. Providing a Submission constitutes entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, in perpetuity, and to incorporate it into other works, in any form, media or technology now known or later developed, for any purpose whatsoever, including for promotional or marketing purposes.

Each Submission must be consistent with the image and values of Sponsor and be consistent with and satisfy the purpose of the Sweepstakes and must not (a) contain material that violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights; (b) disparage Sponsor or any other person or party; (c) contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous; (d) contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; (e) contain material that is unlawful, in violation of or contrary to the laws or regulations of the United States or of any jurisdiction where Submission is created;Except where prohibited by law, participation in the sweepstakes constitutes winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, statements, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further notice, payment or consideration.

Sponsor reserves the right to cancel, suspend and/or modify the sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
